Terms of Use

These Terms of Use are an agreement between you and Hoshipay, LLC (“Hoshipay”, “we”, “us”). They govern your use of hoshipay.com and of the Hoshipay payroll platform, including the employer portal, the accounting-firm workspace, the employee portal and the time clock (together, the “Service”). By using the Service you agree to these terms. If you do not agree, do not use the Service.

Two documents, not one

These terms cover browsing the website and signing in to an account. A business that pays Hoshipay to run payroll also agrees to a customer services agreement, and before we move any money it signs a separate Payroll Services and Funding Authorization. Where those documents and these terms disagree, those documents control for that business.

Who may use the Service

The Service is for businesses and for the people they authorise: owners and officers, payroll administrators, accounting firms acting for their clients, and the employees and contractors those businesses pay. You must be at least 18 and able to enter a binding contract. If you use the Service on behalf of a business, you confirm you are authorised to bind it, and “you” in these terms includes that business.

Your account

Keep your sign-in details to yourself and tell us promptly at support@hoshipay.com if you think your account has been used without your permission. You are responsible for what happens under your credentials. Accounting-firm users and platform administrators are required to use two-factor authentication; we recommend it for everyone it is offered to. We may suspend an account to protect you, other customers or the Service, and we lock accounts after repeated failed sign-ins.

Roles: employers, firms and employees

The business that sets up a company on Hoshipay is the employer and the taxpayer. It decides who can see and change its payroll, and it remains responsible for the accuracy of the information it enters and for approving each payroll before it runs. An accounting firm that manages a company does so as that employer’s authorised agent, within the access the employer has granted. An employee or contractor who signs in to the employee portal sees information their employer has chosen to make available; the employer, not Hoshipay, decides what that is and answers questions about it.

Your data and your responsibilities

You keep ownership of the information you put into the Service. You give us permission to use it to provide the Service: to calculate and run payroll, to prepare and file tax returns and wage reports, to make payments you have approved, and to send the notices and documents that go with that. You are responsible for having the right to give us the information you provide, including your employees’ personal details, and for entering it accurately and on time. Payroll and tax deadlines depend on it, and we cannot correct after the fact what we were not told before the cutoff.

Acceptable use

Do not use the Service to break the law, to pay people who are not really your workers, to access another customer’s data, to probe or disrupt our systems, to scrape the Service, or to build a competing product from it. Do not upload malicious code. We may remove content or suspend access that we reasonably believe breaks these rules.

Hoshi AI

Hoshi AI answers questions about payroll you have already run by reading summaries of that payroll. It is an aid to understanding your own numbers, not tax, legal or accounting advice, and it can be wrong. Check anything it tells you against the payroll records themselves before you act on it. Hoshi AI is not given Social Security numbers, bank details, home addresses or dates of birth. We do not use your content to train general-purpose AI models.

Tax filings and payments

Hoshipay prepares and files payroll tax returns and moves payroll funds only on the instructions of, and with the authorisations given by, the employer. The employer remains the taxpayer and remains liable for its taxes, for keeping sufficient funds available, and for completing the separate agency authorisations (such as IRS Form 8655 and state reporting-agent or portal authorisations) that filing on its behalf requires. The detail of how funding, returned payments, corrections and revocation work is in the Payroll Services and Funding Authorization each employer signs.

Fees

Prices for paid plans are shown on the pricing section and in your account. Subscriptions are billed monthly and renew month to month until you cancel; cancelling stops the next renewal and does not refund the current month unless the customer services agreement says otherwise.

Third-party services

Parts of the Service depend on other companies: for e-filing with tax agencies, for card billing, for sending email, for moving money through the banking system and, if you connect it, for posting entries to QuickBooks Online. Their handling of your information is described in our Privacy Policy. We are not responsible for the performance of a tax agency, a bank or a service you connect yourself.

Our property

The Service, its design, code and content, and the Hoshipay name and mark belong to Hoshipay or its licensors. These terms give you a limited, revocable, non-transferable right to use the Service for your business; they do not give you any other rights in it. If you send us suggestions, we may use them without owing you anything.

What we do not promise

The Service is provided “as is” and “as available”. To the extent the law allows, we make no warranties, express or implied, including of merchantability, fitness for a particular purpose or non-infringement, and we do not promise that the Service will be uninterrupted or error-free. Nothing in the Service is tax, legal or accounting advice.

Limits on our liability

To the extent the law allows, Hoshipay will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability arising out of the Service is limited to the fees you paid us in the twelve months before the claim. For a paying business, the liability terms in its customer services agreement apply instead of this paragraph. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.

Ending your use

You can stop using the Service at any time; a paying business cancels under its customer services agreement. We may suspend or end your access if you break these terms or if the law requires it. Payroll and tax records have to be kept for the periods the law sets, so ending an account does not immediately erase them; see the Privacy Policy for retention.

Changes to these terms

We may update these terms. When we do, we change the date at the top of this page, and for material changes we will notify account holders by email or in the Service before they take effect. Continuing to use the Service after that means you accept the new terms.

Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved between us will be brought in the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction.
